These Terms and Conditions ("Terms") govern your use of the CLOTS MEETING LLC website and the event planning and management services provided by CLOTS MEETING LLC ("Company," "we," "us," or "our"). By using our website or engaging our services, you agree to be bound by these Terms.

1. Services

CLOTS MEETING LLC provides professional event planning, coordination, and management services. The specific scope of services provided to each client is defined in a separate written service agreement or proposal. These Terms supplement, and do not replace, the terms of any signed service agreement.

2. Client Responsibilities

Clients engaging CLOTS MEETING LLC agree to:

  • Provide accurate, complete, and timely information necessary for event planning
  • Review and approve event concepts, vendor contracts, and timelines within agreed-upon response windows
  • Notify us promptly of any changes to event requirements, guest counts, or budget parameters
  • Make payments according to the schedule outlined in the service agreement
  • Ensure all necessary permits, licenses, and venue approvals are obtained when applicable

3. Payment Terms

All fees and payment schedules are outlined in the client's service agreement or proposal. A non-refundable deposit is required upon signing to reserve your event date. Subsequent payments are due according to the agreed payment schedule. Failure to make timely payments may result in a pause or termination of services. All prices are in U.S. Dollars.

4. Cancellation and Rescheduling

Cancellations must be submitted in writing. Deposit payments are non-refundable under any circumstances, as they compensate CLOTS MEETING LLC for time and resources invested in initial planning. Additional cancellation fees may apply depending on the notice period and costs already incurred on behalf of the client. Rescheduling requests are subject to availability and may be subject to fees.

5. Third-Party Vendors

CLOTS MEETING LLC may engage third-party vendors on behalf of clients. While we carefully vet all vendors we recommend, we are not responsible for the performance, quality, or actions of independent third-party vendors. Separate contracts between the client and vendors are the sole responsibility of those parties.

6. Limitation of Liability

To the maximum extent permitted by applicable law, CLOTS MEETING LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our services, including but not limited to damages resulting from vendor failures, venue issues, weather events, or other circumstances beyond our reasonable control. Our total liability shall not exceed the total fees paid by the client for services rendered.

7. Force Majeure

CLOTS MEETING LLC shall not be held liable for failure to perform services resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, governmental actions, public health emergencies, or venue closures. In such events, we will work collaboratively with clients to reschedule or restructure services to the extent reasonably possible.

8. Intellectual Property

All content on the CLOTS MEETING LLC website, including text, images, logos, and design elements, is the property of CLOTS MEETING LLC and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or use our content without express written permission.

9. Photography and Marketing

Unless otherwise agreed in writing, CLOTS MEETING LLC reserves the right to photograph events we plan and use such images for our portfolio, website, and marketing materials. If you prefer that your event not be used for marketing purposes, please notify us in writing prior to your event.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Polk County, Florida.

11. Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our website or services following any changes constitutes acceptance of the revised Terms.
